State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
Effective March 9, 1998, the Registrant retained the services of Ronald
E. Wittman as its Chief Financial Officer. Mr. Wittman is in the process of
completing his due diligence investigation and working with the independent
auditors so that he can execute the Report on behalf of the Registrant as its
Chief Financial Officer.
