(via EDGAR), for SoGen International Fund, Inc., a
Maryland corporation (the "Fund"), and its investment
adviser, Societe Generale Asset Management Corp.,  a
Delaware corporation (the "Adviser"), of an Amendment
No. 1 ("Amendment No. 1") to the Schedule 13G
pursuant to Rule 13d 2(b) under the Securities
Exchange Act of 1934, as amended, relating to the
ownership by the Fund of common stock of BEI
Electronics, Inc., a Delaware manufacturing
corporation. The Fund is an investment company
registered as such under Section 8 of the Investment
Company Act of 1940, as amended, and the Adviser is
an investment adviser registered as such under
Section 203 of the Investment Advisers Act of 1940,
