This amount includes 453,083 shares owned jointly by Mr.
Newkirk and his wife, Gail E. Newkirk. This amount also
includes 1,769 shares held by a daughter of Mr. and Mrs.
Newkirk and 1,000 shares held by a second daughter of Mr.
and Mrs. Newkirk, as to which Mr. Newkirk disclaims
beneficial ownership pursuant to Rule 13d-4. Under certain
circumstances, Mr. Newkirk, his wife and/or their two
daughters could be viewed as a group within the meaning of
Regulation 13D-G. Mr. Newkirk disclaims membership in any
such group.
This amount excludes 23,048 shares held for Mr. Newkirk's
account by the Tractor Supply Company Employee 401(k)
Retirement Plan. Mr. Newkirk has neither voting power nor
investment power with respect to these shares and
accordingly disclaims beneficial ownership of them pursuant
to Rule 13d-4.

jointly with his wife, Gail E. Newkirk. Mrs. Newkirk has
reported her joint ownership of these shares separately on
