The Form 10-QSB cannot be completed within the requested time period
due to the complexities involved in completing the required financial
statements, primarily as a result of the acquisition by the registrant, as of
June 5, 2000, pursuant to an Agreement and Plan of Reorganization, of all the
outstanding shares of common stock of Vismed, Inc., d/b/a Dicon, which
registrant now operates as a wholly owned subsidiary.
