GENERAL INSTRUCTIONS
1. This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the General
Rules and Regulations under the Securities Exchange Act of 1934.
2. One signed original and four conformed copies of this form and amendments
thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule O-3 of the
General Rules and Regulations under the Act. The information contained in
or filed with the form will be made a matter of public record in the
Commission files.
3. A manually signed copy of the form and amendments thereto shall be filed
with each national securities exchange on which any class of securities of
the registrant is registered.
4. Amendments to the notifications must also be filed on form 12b-25 but need
not restate information that has been correctly furnished. The form shall
be clearly identified as an amended notification.

NOTIFICATION OF LATE FILING
PART III -- NARRATIVE
In its most recent periodic reports filed pursuant to the Securities Exchange
Act of 1934, the registrant, Soligen Technologies, Inc., (the "Company")
disclosed that it required additional financing in order to continue current
operations. In order to address this requirement, the Company initiated two
financing efforts: (1) a tender offer to exercise existing warrants at a reduced
exercise price (as described in Schedule 13E-4 and Form 8-K filed with the
Commission on May 16, 1997) and (2) negotiation of a working capital line of
credit to be obtained from a commercial lender. The tender offer will expire at
the close of business on June 30, 1997. The Company is engaged in discussions
with a lender to obtain working capital financing and expects to receive loan
committee action within the next 10 days.
If successful, the above described efforts to obtain additional financing will
have a material effect on the Company's liquidity and financial condition. The
completion and filing of the Company's Annual Report on Form 10-KSB prior to
determining the outcome of the financing efforts will cause the Company to incur
unreasonable legal, audit and internal expenses associated with the completion
of the audited financial statements and accompanying footnotes to be filed as
part of its Form 10-KSB. The expected additional financing will necessitate
substantial revision to the footnotes to financial statements and discussion of
liquidity in Management's Discussion and Analysis of Financial Condition and
Results of Operations. The form of the Independent Public Accountants opinion
may also be affected, and thus a delay in filing until the results of these
financing efforts are known and can be reflected in the Form 10-KSB will avoid
the unreasonable audit, legal and internal expenses associated with revising the
audit report and the subsequent revision of the Form 10-KSB.
