State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K,
10-Q, N-SAR or the transition report portion thereof could not be
filed within the prescribed time period.
We were unable to have the document ready to file by 5:30 on July 1, 1996
because an important package was delayed while in transit between Israel and
the United States. Although the document could have been filed after 5:30 on
July 1, 1996, we determined that such document could not be filed until after
this Form 12b-25. As such, the document will be filed shortly after your
receipt of this form.

Part IV (3) attachment:
The Company's audited financial statements which will accompany the Form 20F
indicate an increase in the Company's net loss from $233,845 to $1,814,094.
This increase in net loss is due primarily to an increase in the Company's
research and development costs from $267,803 to $1,265,010, and an increase
in the Company's general and administrative expenses from $923,521 to
$1,653,711.
