Regulations under the Securities Exchange Act of 1934.
2. One signed original and four conformed copies of this form and
amendments thereto must be completed and filed with the Securities and
Exchange Commission, Washington, D.C. 20549, in accordance with Rule
0-3 of the General Rules and Regulations under the Act. The information
contained in or filed with the form will be made a matter of public
record in the Commission files.
3. A manually signed copy of the form and amendments thereto shall be
filed with each national securities exchange on which any class of
securities of the registrant is registered.
4. Amendments to the notifications must also be filed on form 12b-25 but
need not restate information that has been correctly furnished. The
form shall be clearly identified as an amended notification.

EXHIBIT A
In February 2000 the Registrant announced that a special committee of
non-management members of the Board of Directors had been formed and had
engaged legal counsel to assist it in conducting an investigation, which is
continuing. The Registrant is in the process of recording transactions based on
the special committee's findings to date, preparing the Registrant's financial
statements for the year ended December 31, 1999 and restating the Registrant's
financial statements for the years ended December 31, 1994 through 1998. The
Registrant's independent accountants are in the process of auditing the
Registrant's financial statements for the year ended December 31, 1999. Because
the Registrant has not completed its preparation of these financial statements,
the Registrant's accountants have not yet completed their audit and delivered
their audit opinion.
The foregoing matters have required significant management attention
and resources and have resulted in the Registrant's inability to complete its
financial statements and file its quarterly report for the quarter ended March
31, 2000 within the prescribed period without unreasonable effort or expense.
