AMENDMENT PURSUANT TO RULE 414 UNDER THE
SECURITIES ACT OF 1933, AS AMENDED
This Post-Effective Amendment No. 1 is filed by WPS
Resources Corporation (the "Registrant") in order to expressly
adopt the statements made by Wisconsin Public Service Corporation
("WPSC") in its Form S-8 Registration Statement (Reg. No.33-35050)
(the "Registration Statement") in accordance with Rule
414(d) of the Securities Act of 1933, as amended. On September 1,
1994, pursuant to an Agreement and Plan of Share Exchange, attached
as Exhibit 2 to Registration Statement on Form S-4 (Reg. No.
33-52199), each outstanding share of WPSC Common Stock, $4 par
value per share, was exchanged for one (1) share of the
Registrant's Common Stock, $1 par value per share, and thereby WPSC
became a subsidiary of the Registrant. The Registrant hereby
amends Item 21 of the Registration Statement to add the following
undertaking:
In accordance with Rule 414 of the Securities Act of
1933, WPS Resources Corporation hereby expressly adopts the Form
S-8 Registration Statement of Wisconsin Public Service Corporation
relating to the Plan, and all amendments thereto, as its own
Registration Statement for all purposes of the Securities Act of
1933 and the Securities Exchange Act of 1934, as amended.
