     As a result of unforeseen delays in connection with the preparation of the
registrant's quarterly financial statements, the registrant is unable to file
its Quarterly Report on Form 10-Q within the prescribed time period. The
registrant cannot eliminate the reasons for its inability to file the forgoing
Report without unreasonable effort and/or expense. The foregoing Report will be
filed no later than the fifth calendar day following the prescribed due date for
the Report.

     The registrant anticipates that it will report a change in its results of
operations for the quarterly period ended August 5, 2000 from the corresponding
period for the last fiscal year. The registrant expects to report a net income
of $6,642,000 for the fiscal quarter ended August 5, 2000. This compares to net
income of $2,483,000 for the fiscal quarter ended July 31, 1999.
