PART III. NARRATIVE
State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F,
10-Q, N-SAR or the transition report portion thereof could not be filed
within the prescribed time period. (Attach extra sheets if needed.)
The Plan's delay in filing its Form 11-K has been largely a result of
using a new trustee and record-keeper. The transition to a new trustee and
record-keeper has changed and initially complicated the financial accounting
for the Plan. The Plan believes these complications are nearly resolved and
intends to file the Form 11-K on or before July 31, 1996.
