The Company has been delayed in completing its financial statements for the
quarter ended March 31, 1996 within the required time frame as (i) the
Company has not yet completed the financial statements for their fiscal
year ended December 31, 1995, and (ii) the Company has not yet obtained the
financial results of its Mexican facility.
