                               PART III. NARRATIVE

         State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F,
10-Q, N-SAR or the transition report portion thereof could not be filed within
the prescribed time period. (Attach extra sheets if needed.)

                  Despite its best efforts, the Company is unable to complete
         its Form 10-QSB by its required due date of November 14, 1997 without
         unreasonable effort and expense. The Company is in the process of
         moving its domestic services subsidiary, ACT Teleconferencing Services,
         Inc., into new offices. Because the Company's resources have been
         devoted to keeping teleconferencing lines open while moving the
         subsidiary, there have been delays in gathering and evaluating data for
         the Company's Form 10-QSB.

                                    Exhibit A

The Company's Statement of Operations to be included in the Quarterly Report on
Form 10-QSB to be filed by the Company for its quarter ended September 30, 1997
will reflect higher earnings than for the same quarter in 1996. The higher
earnings were primarily the result of revenue growth from the Company's core
operations, certain overseas operations' having come into profitability, and
reduction of costs in the Company's videoconferencing unit.
