TO THE PROSPECTUSES DATED
DECEMBER 31, 1995 AND MARCH 1, 1996
Effective May 1, 1996, Class B shares sold of each of the Funds will
automatically convert to Class A shares at the beginning of the ninth year
after purchase. Class B shares purchased prior to May 1, 1996 will
automatically convert to Class A shares under the current schedule discussed
in "Purchases" in the "Purchases and Redemptions of Shares" sections of each
Prospectus.
The schedule for Contingent Deferred Sale Charges - Class B shares will
remain unchanged.
