Explanation of Responses:
(01) On February 10, 1998, the reporting person filed a Form 4 report indicating the award on February 10, 1997 of 2,862 shar
es of Company stock pursuant to the Jefferson Smurfit Corporation Management Incentive Plan. The actual number of s
hares awarded on February 10, 1997 was 2,861.
(02) The reporting person acquired these shares at various prices from January 1, 1999 through April 26, 1999 as a result of
company matching contributions pursuant to the SSCC 401(k) plan, and as a result of dividends on Jefferson Smurfit Group
plc stock which are paid in additional shares of SSCC common stock in the SSCC 401(k) plan.
(03) The reporting person transferred shares of SSCC stock in the Company's 401(k) Savings Plan into other investment options
in the Plan.
