This Amendment to Schedule 13D is being filed to reflect that the
group formerly comprised of the below-listed Reporting Persons has
ceased to exist. The Reporting Persons acted as a group solely for
the investment purpose of acquiring an aggregate of 419,700 shares
of Common Stock of the Issuer (the "Shares"). Such transaction was
completed on December 14, 1998. The Reporting Persons have not acted
and will not act as a group with respect to the voting, ownership or
disposition of the shares.
