This Amendment No. 7 amends and supplements information in Item 5.
ITEM 5. INTEREST IN SECURITIES OF THE ISSUER
(a) The Fund's semi-annual report, dated April 14,1999,
states that, as of the close of business on February 28, 1999, there were
5,878,047 shares of Common Stock outstanding. The percentage set forth in
this Item 5(a) was derived using such number.
The Reporting Persons are the beneficial owners of 2,241,300
shares of Common Stock, which constitute approximately 38.1% of the outstanding
shares of Common Stock.
