PART III--NARRATIVE
State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
On February 27, 1998, 7th Level, Inc. (the "Company") filed a preliminary
proxy statement ("Proxy Statement") with the Securities and Exchange Commission
(the "Commission") with respect to the proposed merger of the Company and Pulse
Entertainment, Inc., together with a draft of the Company's Form 10-K for the
fiscal year ended December 31, 1997 ("Form 10K"), which document is incorporated
by reference into the Proxy Statement. On March 30, 1998, the Commission
provided comments to the Company's counsel with respect to the Proxy Statement
and Form 10-K. As a result of the time-consuming process required to respond to
the comments relating to the Form 10-K furnished by the Commission, the Company
will be delayed in filing the Form 10-K. The Form 10-K could not be timely filed
without unreasonable effort or expense. The Form 10-K will be filed within the
time period required by Rule 12b-25.
