Item 8. Change in Fiscal Year
On September 12, 1995, the Registrant's Board of Directors approved
a change in the Registrant's fiscal year end from September 30
to December 31, effectively immediately. The Registrant will file a
transition report on Form 10-Q for the transition period October 1,
1994 through December 31, 1994.
