thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
General Rules and Regulations under the Act. The information contained in
or filed with the form will be made a matter of public record in the
Commission files.

the registrant is registered.

Schedule A
Due to the recently discontinued merger discussions with Intelispan,
Inc., the Registrant was required to write down all costs and expenses
associated with the transaction, the exact amounts of which are still being
determined.

Schedule B
The Registrant's sales revenues for the reporting period were
$8,717, as opposed to $6,925 for the corresponding period of the prior year. Net
earnings per share for the reporting period were ($.17). Due to the merger of a
wholly-owned subsidiary of the Registrant with Aquis Communications, Inc., the
Registrant's business and results of operations have materially changed from the
corresponding period for the prior year.
