The first sentence of the footnote to the "Annual Fund Operating Expenses"
table of the "Summary of Fund Expenses" section appearing at page three of
the Prospectus and the last sentence of "The Fund and its Management" section
appearing at page five of the Prospectus are amended to read as follows:
The Investment Manager has undertaken to assume all expenses (except
for brokerage and 12b-1 fees) and waive the compensation provided for in
its Investment Management Agreement until June 30, 1995.
