PART III - NARRATIVE
State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q, N-
SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
The Company completed a significant acquisition on February 28, 1997. As
a result of the acquisition, the Company is in the process of obtaining
complete and accurate financial information and finalizing the related
purchase price allocation which delayed the filing of the Form 10-QSB for
the quarter ended March 31, 1997.

If so, attach an explanation of the anticipated change, both narratively

The net loss for the quarter ended March 31, 1997 will be approximately
$500,000 compared to new income of $21,000 for the quarter ended March
31, 1996. The majority of this change is due to expenses incurred related
to a significant acquisition.
