This registration statement relates to the registration with the
Securities and Exchange Commission of shares of Common Stock, par value $.01
per share (the "Common Stock"), of PacificAmerica Money Center, Inc., a
Delaware Corporation (the "Registrant"). The description of the Registrant's
Common Stock, as contained in the Registrant's Registration Statement on Form
S-4 (No. 33-64573), as filed with the Securities and Exchange Commission (the
"Commission") on November 24, 1995, as amended from time to time thereafter and
declared effective on May 14, 1996, (the "S-4"), under the caption "Description
