1999 Earnings
- -------------

          On January 26, 2000, PP&L Resources, Inc. ("PP&L Resources" or the
"Company") issued a press release regarding its 1999 earnings and forecasted
earnings. A copy of the press release is attached hereto as Exhibit
99.1 and is incorporated herein by reference.

          PP&L Resources reported adjusted earnings for 1999, or earnings
excluding one-time items, of $2.35 per share, 26 percent higher than similarly
adjusted earnings per share of $1.87 reported for 1998. These figures are not
adjusted for the impact of weather. The Company no longer makes such weather
adjustments in reporting results in view of the deregulation of its generation
business and the resulting increased difficulty in calculating weather impact on
earnings, especially from sales in wholesale markets.

          Reported earnings for 1999 (i.e., including one-time items) were $2.84
per share. This compares to a loss of $3.46 in 1998, which reflected $948
million of net write-offs related to the settlement of PP&L, Inc.'s
restructuring case before the Pennsylvania Public Utility Commission ("PUC") and
another competition-related case before the Federal Energy Regulatory
Commission.

          One-time increases to earnings during 1999 included a gain of 13 cents
per share resulting from securitization of intangible transition costs in
connection with PP&L, Inc.'s PUC restructuring case, a gain of 28 cents per
share from the sale of the Sunbury generating plant, and a gain of 42
cents per share from the sale of the supply portion of the Company's electricity
business in the United Kingdom - SWEB, now renamed Western Power Distribution
("WPD"). Partially offsetting these benefits during 1999 were one-time
adjustments in the fourth quarter of 1999 to write down the carrying value of
the Company's investment in WPD as a result of the action of the U.K. regulators
to reduce rates for all U.K. delivery companies, and two PP&L Global, Inc.
investments in Peru and Bolivia. These adjustments totaled 34 cents per share.

Revised Earnings Forecasts

          On January 27, 2000, PP&L Resources issued a press release regarding
revised earnings forecasts for 2000 and 2001. A copy of the press release is
attached hereto as Exhibit 99.2 and is incorporated herein by reference.

                PP&L RESOURCES ACHIEVES RECORD EARNINGS IN 1999;
                         EXPECTS CONTINUED RECORD GROWTH
                         -------------------------------

     ALLENTOWN, Pa.---PP&L Resources, Inc. (NYSE: PPL) Wednesday (1/26) reported
the highest annual earnings in the company's 80-year history. Adjusted earnings
for 1999, that is earnings excluding one-time items, were $2.35 per share, 26
percent higher than the similarly adjusted earnings per share of $1.87 reported
one year ago.

     "The record earnings level for 1999 demonstrates that PP&L's integrated
corporate strategy is successfully building value for our shareowners," said
John R. Biggar, PP&L Resources' senior vice president and chief financial
officer.

     "Clearly, our strategy to generate and sell competitively priced energy in
key U.S. markets and to operate high-quality energy delivery businesses around
the world is working," said Biggar. "We look forward to continuing this
unprecedented growth in 2000."

     Biggar said the company's adjusted 1999 earnings per share record of $2.35
exceeded the consensus analysts' earnings estimate of $2.31 per share. "We
expect this significant growth in earnings to continue beyond 1999," Biggar
said. He said the company's earnings for the year 2000 are expected to be
between $2.60 and $2.65 per share, which would represent an additional increase
of 11 to 13 percent over the record results for 1999.

     The company also reported adjusted earnings of 64 cents per share for the
fourth quarter of 1999, 60 percent higher than the 40 cents reported for the
same period a year ago.

     Contributing to earnings growth during the fourth quarter of 1999 were a 14
percent increase in electricity supplied to commercial and industrial customers,
lower taxes, lower depreciation on generation assets in connection with the
transition from a regulated to a competitive energy market, increased
contributions from unregulated operations and fewer shares of common stock
outstanding as a result of stock repurchase programs. These benefits were
partially offset by a one-year 4 percent rate reduction for electric delivery
customers in Pennsylvania and by the loss of customers who shopped for alternate
electricity generation suppliers under Pennsylvania's customer choice program.
The earnings improvement for the year reflects similar factors, as well as
significantly higher margins on wholesale energy and marketing activities in
1999 compared with 1998.

     Reported earnings for 1999, that is earnings including one-time items, were
$2.84 per share, also a record. This compares to a loss of $3.46 in 1998, which
reflected $948 million of net write-offs related to the settlement of the
company's restructuring case before the Pennsylvania Public Utility Commission

Commission. Reported fourth quarter 1999 earnings were $1.02 per share, compared
to 56 cents for the same period of 1998, an increase of 82 percent, when
reflecting the net benefits of one-time adjustments in both periods.

     One-time boosts to earnings during the fourth quarter of 1999 included a
gain from the sale of a generation plant in Sunbury, Pa. and a gain from the
sale of the supply portion of the company's electricity business in the United
Kingdom - SWEB, now renamed Western Power Distribution (WPD). Partially
offsetting these benefits during the fourth quarter of 1999 was a one-time
adjustment to write down the carrying value of certain investments made by PP&L
Global, the company's international energy development subsidiary.

     In addition to an 8 percent increase in electricity supplied to commercial
and industrial customers in 1999, the company also recognized a 4 percent
increase in electricity supplied to residential customers, even though it did
not compete for customers in the residential market. In total, electricity
supplied to retail customers in 1999 increased by 7 percent over the previous
year. This reflects the success of PP&L EnergyPlus, the company's competitive
retail marketing subsidiary.

     "Overall, the company's strategy to own and effectively operate power
plants is one that maximizes the value of our physical assets in order to
minimize the cost of our product. That enables us to be successful in the
competitive marketplace," said Biggar.

           PP&L RESOURCES 2001 EARNINGS FORECAST: 27 PERCENT INCREASE

    OVER ALL-TIME RECORD YEAR IN 1999, 13 PERCENT INCREASE OVER 2000 FORECAST

         ALLENTOWN, Pa.---Just one day after reporting 1999 earnings, which
marked an all-time high, PP&L Resources, Inc. (NYSE: PPL) told financial
analysts in New York City today (1/27) that it expects earnings per share for
2001 of $2.95 to $3.00. The forecast for 2001 earnings represents an increase of
about 27 percent over 1999 adjusted earnings of $2.35 per share and about a 13
percent increase over forecasted 2000 earnings per share of $2.60 to $2.65.

         "The success of our integrated corporate strategy to generate and sell
competitively priced energy in key U.S. markets and to operate high-quality
delivery businesses around the world is proven in the numbers," said William F.
Hecht, chairman, president and chief executive officer. "Yesterday, we reported
record earnings results for 1999, and we are forecasting even stronger earnings
growth for 2000 and 2001 than we forecast about a year ago."

         John R. Biggar, senior vice president and chief financial officer,
added "As we bring to a close the first full year of electric industry
competition in Pennsylvania, the company has a sound strategy in place, which is
proving to be successful, and we are delivering on our promise to grow earnings
and build value for our shareowners," Biggar said the key drivers for earnings
growth in 2000 and 2001 include:

          --Continued growth in retail electric sales and revenues;

          --Increased earnings contributions from unregulated investments;

          --Improved output at PP&L's generating facilities; and

          --Lower operation and maintenance expenses than previously forecast.

         The success of PP&L EnergyPlus, the company's competitive retail
marketing subsidiary, over the past year has been coupled with
lower-than-expected loss of customer load as a result of competition and
customer choice in Pennsylvania's deregulated electric generation market. PP&L
EnergyPlus is currently licensed to market energy in five states: Pennsylvania,
Delaware, Maine, Montana and New Jersey.

         "We saw an increase of 8 percent in electricity supplied to commercial
and industrial customers during 1999," said Biggar. "And, the electricity we
supplied to residential customers in 1999 increased by 4 percent even though we
didn't compete for customers in that market. We expect to see continued success
in the industrial and commercial energy markets."

         "We are providing tremendous value and quality to the customers of the
energy distribution systems that we own and operate in the U.S., as well as in
the United Kingdom and Latin America - the focus of our international
operations," said Hecht.

         "Our company's strategy to own and effectively operate power plants
with well-diversified fuel sources in the Northeast and Western U.S. regions
maximizes the value of our physical assets. This, in turn, helps to minimize the
cost of our product and allows us to compete effectively in the deregulated
energy marketplace," said Hecht.

         Hecht also sees PP&L Resources' recent Montana acquisition, the
company's largest ever, as a real boost for the company's Western strategy. That
acquisition included 11 hydroelectric power plants and dams, two coal-fired
power plants, a storage reservoir and other related assets totaling 1,315
megawatts. "This is not simply the acquisition of a generation company," said
Hecht. "We're selling energy in the Western markets." Another vital component of
PP&L's Western strategy is the 600-megawatt, natural gas-fired power plant under
construction in Kingman, Ariz., which will supply the needs of the Southwest
starting in 2001.
