as follows:
SUPPLEMENT DATED MARCH 24, 1995
TO PROSPECTUS DATED JULY 1, 1994
OF THE UNCOMMON VALUES TRUST, 1994 SERIES
On March 3, 1995, Smith Barney's Investment Policy Committee
raised a red flag on the Argentine equity market, and on March 8 the firm
reduced its rating of Telecom Argentina to 3-H. In view of these
developments, the Sponsor determined that continued ownership of this
security was not in the best interest of Holders and directed the Trustee
to sell the Trust's holdings of that stock.
The proceeds from the sale will be held in an interest-bearing
account with the Trustee until the next Distribution Date.
