A Common Stock in an underwritten public offering pursuant to a
Registration Statement on Form S-1 (File No. 333-4507) filed with the
Securities and Exchange Commission. A total of 600,000 of such shares
of Class A Common Stock were sold pursuant to the exercise by the
underwriters of an option to purchase additional shares to cover
over-allotments. The underwriters for the public offering were CS
First Boston Corporation, The Chicago Corporation and McDonald &
Company.
