PART III - NARRATIVE

State below in reasonable  detail the reasons why Forms 10-K,  20-F, 11-K, 10-Q,
N-SAR, or the transition  report or portion  thereof,  could not be filed within
the prescribed time period.

     On August 11, 2000, the Registrant and its  wholly-owned  subsidiary,  Post
Tool,  Inc., each filed a voluntary  petition for relief under Chapter 11 of the
United States  Bankruptcy Code in the U.S.  Bankruptcy Court for the District of
Massachusetts.  Since that date,  the  Registrant  has  continued to operate its
businesses as a debtor-in-possession  and has taken steps to divest its Golf Day
business.  The Registrant will be delayed in filing its Quarterly  Report,  Form
10-Q as a result of the Golf Day divestiture and its need for additional time to
complete  and  obtain  certain  information  to  be  reflected  in  Management's
Discussion  and Analysis of Financial  Condition and Results of Operations - and
the  condensed  Consolidated  Financial  Statements  and the Notes thereto to be
included in its Quarterly Report, Form 10-Q.
