Due to the nature of the Company's business activities, the person responsible
for preparation of the financial information for the Form 10-K has been out of
town and therefore unable to complete the financials and file the Form 10-K in
a timely manner.

NARRATIVE AND QUALITATIVE EXPLANATION:

The Company expects to report that during the year ended December 31, 1997, it
had total operating revenues of approximately $32,985,000 and a loss before an
extraordinary item of approximately $3,979,000.  The Company also expects to
report a net loss of approximately $3,100,000.  During the year ended December
31, 1996, the Company had total operating revenue of $28,683,704, income
before discontinued operations of $99,936, and a net loss of $2,226,292.

The increase in revenues during 1997 was a result of an increase in the number
of facilities operated by the Company during the year.  The increased loss
before an extraordinary item and discontinued operations was primarily due to
increased general and administative expenses as a result of increased activity
surrounding acquisitions, and included management salaries, related costs,
travel expenses, legal and audit fees, supplies and corporate insurance.
