The Company has been unable to timely file its Form 10-K because the Company
was unable to complete the document in time to submit it to the members of the
Board of Directors for their approval. The document is currently being
reviewed by the Board and should be finalized and filed within a couple of
days.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:
The Company expects to report a net loss for the year ended December 31, 1998
of $7,809,343 ($.65 per share) as compared to a net loss of $3,099,502 ($.29
per share) for the year ended December 31, 1997. The increased net loss is
primarily attributed to a drop in the percentage of beds occupied at its
nursing centers compared to the prior year; provisions for bad debts which
totaled $4,749,309 for 1998; and increased general and administrative
expenses, as a result of the overall growth of the Company's operations and
the additional salaries of Executive Officers and senior staff members who
joined the Company in July 1998.
