undivided beneficial interest in the assets and liabilities of
the Registrant, is set forth under the caption "Description of the
Trust Agreement" in the Prospectus contained in Amendment No. 1
to Registration Statement on Form S-3 (No. 33-53513) ("Amendment No. 1")
and is incorporated herein by reference.
