within the prescribed time period.

     Due to the change in auditors from Ernst & Young to BDO Seidman, the audit
     of the year end financial statements (as of June 30, 1998) has not been
     completed and therefore the financial statements for the September 30, 1998
     Form 10-Q could not be completed in time to meet the prescribed time
     period.
