N-SAR, or the transition report or portion thereof, could not be filed within

The Company is unable to file the Quarterly Report on Form 10-QSB (the
"Form 10-QSB") for the six months ended June 30, 1996 primarily as a result of
the Company's inability to access financial computer records following the
installation of an upgrade for the Company's software.

from the corresponding period for the last fiscal year will be reflected
by the earnings statements to be included in the subject report or

If so, attach an explanation of the anticipated change, both narratively
and quantitatively, and, if appropriate, state the reasons why a
reasonable estimate of the results cannot be made.
The Company anticipates that a significant change in its results of
operations from the six months ended June 30, 1995 ("First Half of 1995")
will be reflected in the earnings statement to be included in the
Company's Form 10-QSB for the six months ended June 30, 1996 ("First Half
of 1996"). For the First Half of 1995, the Company had net income of
approximately $7,500. Based on the Company's preliminary estimates, the
Company expects to report a net loss of approximately $631,000 for the
First Half of 1996. The change from net income for the First Half of 1995
to a net loss for the First Half of 1996 is due primarily to: (i) a
reduction in revenues of approximately $547,000; and (ii) an increase in
operating expenses of approximately $328,000.
