State below in  reasonable  detail the  reasons  why Form 10-K and Form  10-KSB,
11-K,  20-F,  10-Q and Form 10-QSB,  N SAR, or the transition  report or portion
thereof could not be filed within the prescribed period.

The Company  installed a new  accounting  and  manufacturing  system  during the
fourth quarter of 1999 and a new chief financial officer was appointed effective
January 1, 2000. Delays in completing the new system conversion have resulted in
delays in completing the audit for the year ended December 31, 1999.

from the corresponding  period for the last fiscal year will be reflected by the

and  quantitatively,  and if  appropriate,  state the reasons  why a  reasonable
estimate of the results cannot be made.

For 1998,  the Company  reported a loss of  $783,883.  For the nine months ended
September  30, 1999,  the Company  reported  net income of  $351,023.  While the
Company expects to report a significant  loss in the fourth quarter of 1999, for
which it currently has insufficient data to quantify, it nonetheless expects the
results of operations for 1999 to be significantly better than those for 1998.
