                                   NARRATIVE

     State below in reasonable  detail why the Form 10-K, 11-K, 20-F 10-Q, N-SAR
or the  transition  report  portion  thereof  could  not  be  filed  within  the
prescribed time period. (Attach extra sheets if needed.)


Registrant's  preparation of its financial  statements,  notes and  Management's
Discussion  and  Analysis of  Financial  Condition  and  Results of  Operations,
together with delays  occasioned by the Registrant's  negotiations with its bank
group to obtain a waiver of  certain  loan  covenants  required  more time than
anticipated and has prevented  Registrant from completing the preparation of its
10-Q Report filing. In addition,  technical  problems with the initial attempted
EDGAR filing caused the initial filing to be rejected, leaving insufficient time
to  correct  the  deficiencies  in a timely  manner.  The  reasons  causing  the
Registrant  to be  unable  to  file  timely  could  not  be  eliminated  without
unreasonable  effort or expense.  The subject  Quarterly Report will be filed no
later than the fifth calendar day following the prescribed due date.
