1. Southwestern Electric Power Company ("SWEPCO") hereby
certifies that during the quarter ended March 31, 1994 it leased
railcars to nonassociated third parties as follows:
PERIOD OF LEASE NUMBER OF RAILCARS LEASED
January 1 - 31 113
The average number of railcars leased during the period was 113,
while the average number of railcars owned during the period was
1,472. SWEPCO received revenues of $56,356.00 for January as
consideration for said leases.
Said transactions have been carried out in accordance
with the terms and conditions of, and for the purpose represented
in the Form U-1 Application-Declaration of SWEPCO in File No. 70-

7656, and in accordance with the terms and conditions of the
Commission's order dated June 29, 1989 permitting said
Application-Declaration to become effective.
