State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period. 

Since the end of the fiscal year, management has been extensively involved in
financing and other business projects on behalf of the Company. This has created
a delay in management's ability to coordinate and complete preparation and
filing of the Form 10-Q on a timely basis.

     and quantitatively, and, if appropriate, state the reasons why a reasonable
     estimate of the results cannot be made.

     The Company saw a dramatic increase in the number of Restaurant Cards
     issued compared to the same period last year, as well as an increase in
     the number of Participating Restaurants. Although the number of
     cardholders increased, this was largely due to distribution of free
     memberships in the Restaurant Card, which resulted in a very low usage of
     the card by these cardholders. As well, a substantial number of
     restaurants are marginal performers, with, again a low utilisation of the
     card. The net result of both these factors has been that, while cost was
     incurred to administer these cards, revenue attributable to the cards and
     to the restaurants was effectively negligible. This occasioned an
     estimated approximately $300,000 increase in the loss over the
     corresponding period last year.
