State below in reasonable detail the reasons why Form 10-K, 20-F, 11-K, 10-Q,
N-SAR or the transition report or portion thereof could not be filed within
the prescribed time period.

Arch Leasing Corporation Trust failed to make principal payments due May and
June 1998 due to certain circumstances.  Arch Leasing Corporation Trust and the
trustee Magna Trust have a court date set for July 9, 1998 to decide if the
Trust will liquidate and pay all bond debt possible with the proceeds, or
remain as is and pay the bondholders pro rata as cash is available.  Due to
these circumstances, the future of the Trust is unknown.  Currently a
liquidation is possible, and therefore an extension is being applied for so
that the outcome of the court date July 9, 1998 will be known.  The fair
market value and/or liquidation value of certain assets may be more easily
determined once decisions are made after the court date of 7/9/98.

An adjustment may need to be made to adjust certain assets to fair market value

is currently unknown.  This estimate will be more easily determined once bids
are received for the potential liquidation.

Rules and Regulations under the Securities Exchange Act of 1934.

amendments thereto must be completed and filed with the Securities and
Exchange Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of
the General Rules and Regulations under the Act. The information contained in
or filed with the Form will be made a matter of the public record in the
Commission files.

   3. A manually signed copy of the form and amendments thereto shall be filed
with each national securities exchange on which any class of securities of the
registrant is registered.
