            FIRST SCIENTIFIC, INC. (THE "COMPANY") IS WAITING FORTHE
       COMPLETION OF ITS UNAUDITED FINANCIAL STATEMENT TO BE INCLUDED
       IN ITS REPORT ON FORM 10-QSB FOR THE QUARTER ENDED SEPTEMBER30, 1999.
       THE COMPLETION OF SUCH REPORT HAS BEEN DELAYED DUE TO MANAGEMENT'S
       REVIEW OF CERTAIN ITEMS IN CONNECTION WITH THE COMPANY'S OPERATIONS.

                        PART IV (3) - EXPLANATION OF SIGNIFICANT
                            CHANGE IN RESULTS OF OPERATIONS


          The Registrant's estimated sales for the nine-month period is
     approximately $426,000 which is approximately $358,000 Higher than
     the sales for the nine-month period ended September 30, 1998. The
     Registrant's estimated loss for the quarter ended September 30,1999 is
     approximately $507,000 which is approximately $3,393,000 lower than
     the loss for the quarter ended September 30, 1998. Such reducedloss was
     attributable to (a) a one time research and development expenseof
     approximately $3,766,000 (b) increased general andadministrative
     expenses of approximately 438,000 in the reporting quarter.
