On August 3, 1995, Acclaim Entertainment, Inc. (the "Selling Stockholder")
sold 66,500 shares of the Class A Common Stock, par value $1.00 per share (the
"Class A Common Stock"), of Tele-Communications, Inc. All 66,500 shares of Class
A Common Stock were sold by the Selling Stockholder to HD Brous & Co., Inc. ("HD
Brous") at the following prices: 25,000 shares at $25 per share, 8,500 shares at
$25 1/16 per share, 16,000 shares at $25 3/16 per share and 17,000 shares at $25
1/8 per share. No commissions were paid to HD Brous in connection with such
sale.
On August 4, 1995, the Selling Stockholder sold 96,000 shares of the Class A
Common Stock. All 96,000 shares of Class A Common Stock were sold by the
Selling Stockholder to HD Brous at the following prices: 20,000 shares at $25
3/16 per share, 31,000 shares at $25 5/16 per share, 10,000 shares at $25 7/16
per share, 25,000 shares at $25 9/16 per share and 10,000 shares at $25 11/16
per share.
