On June 20, 1995, Acclaim Entertainment, Inc. (the "Selling
Stockholder") sold 50,000 shares of the Class A Common Stock, par value $1.00
per share (the "Class A Common Stock"), of Tele-Communications, Inc. All 50,000
shares of Class A Common Stock were sold by the Selling Stockholder to
HD Brous & Co., Inc. ("HD Brous") at the following prices: 10,000 shares at $22
7/8 per share, 10,000 shares at $22 11/16 per share and 30,000 shares at $22 3/4
per share. No commissions were paid to HD Brous in connection with such sales.
On June 21, 1995, the Selling Stockholder sold 65,000 shares of the
Class A Common Stock. All 65,000 shares of Class A Common Stock were sold by the
Selling Stockholder to HD Brous at the following prices: 10,000 shares at $23
3/16 per share, 10,000 shares at $23 per share, 10,000 shares at $22 15/16 per
share and 35,000 shares at $23 1/16 per share. No commissions were paid to HD
Brous in connection with such sales.
