On June 22, 1995, Acclaim Entertainment, Inc. (the "Selling Stockholder")
sold 80,000 shares of the Class A Common Stock, par value $1.00 per share (the
"Class A Common Stock"), of Tele-Communications, Inc. All 80,000 shares of Class
A Common Stock were sold by the Selling Stockholder to HD Brous & Co., Inc. ("HD
Brous") at the following prices: 10,000 shares at $23 1/4 per share, 50,000
shares at $23 3/8 per share and 20,000 shares at $ 23 5/16 per share. No
commissions were paid to HD Brous in connection with such sales.
On June 23, 1995, the Selling Stockholder sold 80,000 shares of the Class A
Common Stock. All 80,000 shares of Class A Common Stock were sold by the Selling
Stockholder to HD Brous at the following prices: 10,000 shares at $23 1/2 per
share, 30,000 shares at $23 9/16 per share and 40,000 shares at $23 5/16 per
share. No commissions were paid to HD Brous in connection with such sales.
