         On March 16, 1995, Acclaim Entertainment, Inc. (the "Selling
Stockholder") sold 15,000 shares of the Class A Common Stock, par value $1.00
per share (the "Class A Common Stock"), of Tele-Communications, Inc.  All
15,000 shares of Class A Common Stock were sold by the Selling Stockholder in
brokerage transactions at the following prices: 5,100 shares at  $22 3/8 per
share and 9,900 shares at $22 5/16 per share. A commission of  $937.50 was 
paid to Jefferies & Company, Inc., which acted as agent for the Selling
Stockholder in connection with such sales.
