         On February 15, 1995, Acclaim Entertainment, Inc. (the "Selling
Stockholder") sold 175,000 shares of the Class A Common Stock, par value $1.00
per share (the "Class A Common Stock"), of Tele-Communications, Inc.  All
175,000 shares of Class A Common Stock were sold by the Selling Stockholder in
brokerage transactions at the following per share prices: 55,100 shares at $23
3/8 per share; 30,000 shares at $23 1/2 per share; 84,900 shares at $23 7/16
per share; and 5,000 shares at $23 25/64 per share. A commission of $10,937.50
was paid to Jefferies & Company, Inc. ("Jefferies"), which acted as agent for
the Selling Stockholder in connection with such sales.       

         On February 16, 1995, the Selling Stockholder sold 25,000 shares of
Class A Common Stock.  All 25,000 shares of Class A Common Stock were sold by
the Selling Stockholder in brokerage transactions at $23 5/16 per share. A
commission of $1,562.50 was paid to Jefferies, which acted as agent for the
Selling Stockholder in connection with such sale.     
                                        
         On February 21, 1995, the Selling Stockholder sold 114,200 shares of
Class A Common Stock.  All 114,200 shares of Class A Common Stock were sold
by the Selling Stockholder in brokerage transactions at the following per share
prices: 24,500 shares at $23 1/4 per share; 500 shares at $23 1/3 per share; 
5,000 shares at $23 1/5 per share; 20,000 shares at $23 3/8 per share;
30,300 shares at $23 7/16 per share; 12,600 shares at $23 1/2 per share; and
21,300 shares at $23 5/16 per share. A commission of $7,273.50 was paid to 
Jefferies, which acted as agent for the Selling Stockholder in connection with 
such sales.
