On June 28, 1995, Acclaim Entertainment, Inc. (the "Selling
Stockholder") sold 66,000 shares of the Class A Common Stock, par value $1.00
per share (the "Class A Common Stock"), of Tele-Communications, Inc. All 66,000
shares of Class A Common Stock were sold by the Selling Stockholder to HD Brous
& Co., Inc. ("HD Brous") at the following prices: 5,000 shares at $22 15/16 per
share, 7,000 shares at $23 1/2 per share, 8,000 shares at $23 7/16 per share,
10,000 shares at $23 1/16 per share, 16,000 shares at $23 3/16 per share and
20,000 shares at $23 5/16 per share. No commissions were paid to HD Brous in
connection with such sales.
