On July 21, 1995, Acclaim Entertainment, Inc. (the "Selling
Stockholder") sold 20,000 shares of the Class A Common Stock, par value $1.00
per share (the "Class A Common Stock"), of Tele-Communications, Inc. All 20,000
shares of Class A Common Stock were sold by the Selling Stockholder to HD Brous
& Co., Inc. ("HD Brous") at the following prices: 15,000 shares at $23 7/8 per
share and 5,000 shares at $24 per share. No commissions were paid to HD Brous in
connection with such sale.
