On July 5, 1995, Acclaim Entertainment, Inc. (the "Selling Stockholder")
sold 45,000 shares of the Class A Common Stock, par value $1.00 per share (the
"Class A Common Stock"), of Tele-Communications, Inc. All 45,000 shares of Class
A Common Stock were sold by the Selling Stockholder to HD Brous & Co., Inc. ("HD
Brous") at the following prices: 15,000 shares at $23 5/16 per share, 15,000
shares at $23 7/16 per share and 15,000 shares at $23 5/8 per share. No
commissions were paid to HD Brous in connection with such sales.
On July 6, 1995, the Selling Stockholder sold 129,000 shares of the Class A
Common Stock of Tele-Communications, Inc. All 129,000 shares of Class A Common
Stock were sold by the Selling Stockholder to HD Brous at the following prices:
10,000 shares at $23 15/16 per share, 74,000 shares at $23 7/8 per share, 20,000
shares at $24 per share, 25,000 shares at $23 13/16 per share. No commissions
were paid to HD Brous in connection with such sales.
