On July 11, 1995, Acclaim Entertainment, Inc. (the "Selling Stockholder")
sold 25,000 shares of the Class A Common Stock, par value $1.00 per share (the
"Class A Common Stock"), of Tele-Communications, Inc. All 25,000 shares of Class
A Common Stock, were sold by the Selling Stockholder to HD Brous & Co., Inc.
("HD Brous") at the price of $24 per share. No commissions were paid to HD Brous
in connection with such sale.
On July 12, 1995, the Selling Stockholder sold 155,000 shares of the Class
A Common Stock. All 155,000 shares of Class A Common Stock were sold by the
Selling Stockholder to HD Brous at the following prices: 10,000 shares at
$24 1/4 per share, 55,000 shares at $24 per share, 65,000 shares at $24 3/16
per share and 25,000 shares at $24 1/16 per share. No commissions were paid to
HD Brous in connection with such sales.
