On June 26, 1995, Acclaim Entertainment, Inc. (the "Selling
Stockholder") sold 15,000 shares of the Class A Common Stock, par value $1.00
per share (the "Class A Common Stock"), of Tele-Communications, Inc. All 15,000
shares of Class A Common Stock were sold by the Selling Stockholder to HD Brous
& Co., Inc. ("HD Brous") at $23 7/16 per share. No commissions were paid to HD
Brous in connection with such sale.
On June 27, 1995, the Selling Stockholder sold 13,500 shares of the
Class A Common Stock. All 13,500 shares of Class A Common Stock were sold by the
Selling Stockholder to HD Brous at the following prices: 6,000 shares at $22
15/16 per share and 7,500 shares at $22 13/16 per share. No commissions were
paid to HD Brous in connection with such sales.
