Pursuant to undertaking No. 3 of Item 17 of the Registrant's Registration
Statement on Form S-3 (File No. 33-65479) (the "Registration Statement"), the
Registrant files this Post-Effective Amendment No. 1 to the Registration
Statement for the purpose of withdrawing from registration any of the 101,398
shares of the Registrant's Tele-Communications, Inc. Series A Liberty Media
Group Common Stock, par value $1.00 per share, which were previously registered
under the Registration Statement and which remain unsold.
