National Diagnostics, Inc. is in the process of merging with American
Enterprise Solutions, Inc. as more fully described in Form 8-KSB filed March
10, 1998. The Company believes an extended filing date for its Form 10-KSB is
warranted due to the immediacy of the merger transaction and its impact on
disclosures.
