(1) Effective June 2, 2000, Telescape International, Inc. ("Telscape") completed a merger with Pointe Communications Corporation ("Pointe") in which Pointe became a wholly-owned subsidiary of Telscape. In the transaction, Mr Raville became a director and officer of Telscape.
